Terms of Service — openfame.app

These terms are a contract between you and TABEDAL, a French société par actions simplifiée (SAS) with a share capital of €1,000, registered with the Nanterre Trade and Companies Register under number 844 585 018, whose registered office is at 32 Rue de Paris, 92100 Boulogne-Billancourt, France, VAT number FR24844585018 ("TABEDAL", "we"). TABEDAL operates the website and service openfame.app ("OpenFame", the "Service"). By creating an account or buying anything on OpenFame, you accept these terms.
1. What OpenFame is
OpenFame is a public marketplace for promotional placements. It sells visibility, and nothing else: a numbered spot on a public leaderboard (the "Board"), a single premium placement at the top (the "Throne"), and short public posts (the "Wall"). Each placement displays a link chosen by its holder — a website or an X profile. Every price is posted, every transaction is recorded in a public journal, and nothing about the mechanism is hidden: the full rules are published on the protocol page and apply as written.
OpenFame is an advertising service. It is not an investment, not a financial product, not a game of chance, and holds no element of randomness: every outcome follows deterministically from posted prices and the published rules.
2. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into contracts. You sign in with an X account; your public X handle is displayed on the placements you hold. You are asked to declare your country. One person may operate one account; accounts under common control are treated as a "linked group" under section 9. You are responsible for everything done through your account.
3. Buying a spot on the Board
Each Board spot shows a posted price at all times. Anyone may buy any spot by paying its posted price plus a buyer fee of 5% and, where due, a maintenance fee for the upcoming period — the exact total is displayed before you confirm payment. When your purchase completes, you become the spot's holder, you set its new posted price (within the published bounds, currently up to $25,000), and your link goes live after the checks in section 8.
When someone buys a spot from you, that is the Service working as designed: 97% of the price paid is credited to you (section 7) and the spot passes to the buyer. Being outsold is not a malfunction, a loss event, or grounds for a refund; it is the resale mechanism you joined the marketplace to use.
Unsold or newly opened spots follow a public declining-price schedule until bought. A holder who stops paying the maintenance fee enters liquidation: the spot's price declines publicly until someone buys it or it returns to the house. New spots may open ("drops") only under the published market conditions.
4. The Throne
The Throne is a single premium placement attributed to the highest standing offer. Its current price is always posted. You may take the Throne by paying at least the posted minimum (the current price plus the published increment); your payment is the new posted price. When someone takes the Throne after you, your tenure ends and your payment is not returned — your payment bought the placement for the time you held it, exactly as described, and holding it "until outbid" is the product itself. You will be asked to expressly confirm that you understand this before every take. Seasons, the takeover cap (currently $25,000, which ends the season), reset countdowns and per-account cooldowns follow the published parameters.
5. The Wall and points
Wall posts are paid public messages, limited per account per day, subject to section 8. Points are a non-monetary score awarded for activity under published weights. Points have no cash value, cannot be bought, sold or redeemed, and confer no rights; weights may be adjusted with a public journal entry.
6. Payments, prices and no refunds
Payments are processed by Stripe. We never see or store your card details. For consumers in the European Union, displayed prices include applicable VAT, calculated at checkout. Anti-fraud checks (including 3-D Secure) may apply. Published rate limits apply, currently: 5 purchases per hour, 10 price quotes per minute, and a $25,000 maximum per sale and per Throne take.
All sales are final. Except where the law grants you rights that cannot be waived, or where a technical error on our side prevented the service you paid for from being delivered at all, payments are not refunded — in particular, being outsold on the Board (you receive 97% of the resale) and being succeeded on the Throne (section 4) are the normal operation of the Service and are never refundable.
Right of withdrawal (EU consumers). The Service is a digital service performed immediately and in full upon purchase: your placement goes live at once. By confirming a purchase you expressly request immediate performance and acknowledge that, once the placement is delivered, you lose your right of withdrawal in accordance with Article L221-28 of the French Consumer Code.
7. Getting paid as a seller
Seller proceeds (97% of a resale) are paid through Stripe Connect. To receive money you must complete Stripe's onboarding for an Express account (identity verification and payout details, handled by Stripe in your country). Payouts carry a standard delay, currently 7 days, which protects the marketplace against fraud and disputes. If you never complete onboarding, your proceeds remain reserved for you for the period required by law. Amounts due to you are not interest-bearing.
8. Links, content and moderation
Your link and its destination must be lawful and honest. Prohibited, without limitation: sexually explicit content; scams, deception or impersonation; malware or phishing; counterfeit goods; gambling services; redirect chains that mask the true destination; and any content unlawful in France or the European Union. Links must use HTTPS. Every link is checked automatically before going live and at every change, and may be reviewed by a human.
We may freeze a placement's display when a link appears to violate these rules: the position is kept but the display is hidden pending review. A second freeze has the published structural consequences — forced liquidation for a Board spot, loss of tenure without refund and a new season for the Throne, and removal for a Wall post. Anyone may report a link; we operate a notice-and-takedown process consistent with the EU Digital Services Act, reachable at legal@openfame.app. Illegal-content decisions can be contested by replying to the notification you receive.
9. Fair play and linked accounts
Accounts under common ownership or control form one linked group. Within a group: no purchases from one another, no Throne take while the group holds it, no self-referral, and a published ceiling on the number of Board spots (currently 5). Manufacturing activity to game visibility, prices or points — including click fraud — is prohibited. We may reverse the effects of transactions obtained through fraud or in breach of these terms; reversals are recorded in the public journal.
10. The public journal
The marketplace's events — sales, prices, takes, parameter changes, moderation actions — are recorded in an append-only public journal, visible to anyone. This transparency is a core feature of the Service. The journal records account numbers and transaction facts; what happens to personal identifiers is described in the Privacy Policy.
11. Changes to the Service
The published parameters (fees within the ranges stated here, price bounds, limits, schedules, point weights) may change prospectively; every change is announced by an entry in the public journal before it applies. We may modify these terms for the future with reasonable notice on the site; your continued use after notice is acceptance. The Service may be paused for safety or maintenance; the published pause rules apply.
12. Termination and erasure
You may stop using OpenFame at any time and request erasure of your account once you no longer hold placements; erasure removes your identifiers as described in the Privacy Policy. We may suspend or terminate accounts that break these terms, with the consequences published in the rules; amounts lawfully due to you as a seller remain payable.
13. Liability
Nothing in these terms excludes liability that cannot be excluded under French law, including for consumers. The Service is provided with reasonable skill and care; we do not promise any level of traffic, clicks, attention or commercial results from a placement — clicks shown on the site are measurements, not guarantees. To the extent permitted by law for business users, our total liability for any claim is capped at the fees you paid us in the twelve months before the event giving rise to it.
14. Intellectual property
OpenFame's name, marks, design and software are TABEDAL's property or licensed to it. You keep the rights to your own content and grant us the licence needed to display it on the Service and in the journal.
15. Law, disputes and mediation
These terms are governed by French law. Consumers also enjoy the mandatory protections of their country of residence. Consumers in France may use, free of charge, the consumer mediator to which TABEDAL adheres — [mediator name and contact: to be completed upon registration with a certified consumer-mediation scheme] — and the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. Courts of the defendant's domicile, or any venue the law allows a consumer to choose, have jurisdiction.
